TERMS AND CONDITIONS OF SALE

1. ACCEPTANCE OF TERMS

By accepting a quote, placing an order, or making a purchase from Laxeon Technology Group / Laxeon Inc. ("Laxeon"), the customer agrees to be bound by these Terms and Conditions of Sale. These terms govern all transactions unless otherwise agreed upon in writing by Laxeon.

2. PRICING & QUOTATIONS

All prices are subject to change without notice due to supplier adjustments, tariffs, duties, freight, or exchange rate fluctuations.

Quotes are valid for the period specified within the quote. If no period is stated, quotes are valid for 30 days.

Pricing errors may be corrected at Laxeon’s discretion before order acceptance.

3. ORDERS & PAYMENT

Orders are subject to acceptance by Laxeon.

Full payment is required before shipment unless otherwise agreed upon in writing.

Payments must be made using approved methods. Late payments may be subject to interest charges of 1.5% per month or the maximum rate allowed by law.

Laxeon reserves the right to cancel orders due to non-payment.

4. SHIPPING & DELIVERY

Delivery times are estimates and not guaranteed. Laxeon is not responsible for delays beyond its control.

Customers must accept delivery within 90 days of product availability, or storage and transportation fees may apply.

Risk of loss transfers to the customer upon delivery. Customers must inspect shipments upon receipt and report any discrepancies within 5 business days.

5. RETURNS & REFUNDS

Returns are subject to Laxeon’s approval and may be subject to restocking fees.

Custom or special-order items are non-refundable.

Defective products may be exchanged per the manufacturer’s warranty policy.

Customers must obtain a Return Merchandise Authorization (RMA) before returning any product.

6. WARRANTIES & LIABILITY

Products sold by Laxeon are covered under the manufacturer’s warranty. Laxeon makes no additional warranties, express or implied.

Laxeon is not liable for indirect, incidental, or consequential damages arising from product use, defects, or delays.

7. CANCELLATION POLICY

Orders may be canceled prior to shipment, but cancellation fees may apply.

Custom orders cannot be canceled once production has started.

8. GOVERNING LAW & DISPUTES

These terms shall be governed by and construed in accordance with the laws of the State of Kentucky.

Any disputes arising under or related to these terms shall be resolved exclusively in the courts of Kentucky.

In the event of a dispute, the prevailing party shall be entitled to recover reasonable legal fees and costs.

9. FORCE MAJEURE

Laxeon shall not be liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, labor strikes, supply chain disruptions, or government actions.

10. MODIFICATIONS

Laxeon reserves the right to modify these Terms and Conditions at any time. Updated terms will be posted on Laxeon’s official website and shall apply to all future transactions.
